These terms are read together with the Privacy Policy, Cookie Policy, Service & Order Delivery Policy, Cancellation Policy, Returns, Withdrawal & Refund Policy and Payment Policy.
1. Scope and acceptance
Using this website means you accept these Terms. Where you purchase or order services from NXDC, the specific commercial agreement you sign governs the engagement; these Terms apply to website use.
2. Website content is information, not an offer
Service and product descriptions, prices and delivery information on this website are provided for general information and do not constitute a binding offer unless NXDC confirms an order or you conclude a written agreement.
3-4. Services, contracting and acceptance
NXDC provides managed technology, infrastructure, audit and assurance, and automation & AI services under the NXDC Digital Continuity positioning. NXDC is B2B-first. An engagement begins when you accept a written proposal/contract or NXDC confirms an order in writing.
5. Invoicing and electronic payments
NXDC is not an online storefront. This website does not host a shopping cart, checkout, product catalogue, payment initiation flow or NETOPIA API integration. Payments are arranged through NXDC's commercial system: eligible invoices issued through the billing system (Oblio integration) may carry a card-payment link/button powered by NETOPIA Payments, which is the payment initiation surface. Card payment is not active on the website. See the Payment Policy.
6-7. Service descriptions, orders
Service descriptions are indicative; the binding scope, service levels and limits are those in your written commercial agreement. Any order is subject to NXDC's acceptance, confirmed in writing.
8. Pricing and currency
NXDC does not publish generic service prices on this website. The primary/default currency for the Oblio/NETOPIA payment flow is Romanian Lei (RON), excluding VAT. Specific prices, additional currencies and conditions are defined in quotations, proposals, contracts or invoices.
9-13. Invoicing, payment, activation, cancellation, returns
Invoices are issued in accordance with the agreement and Romanian fiscal rules. Payments, service activation and delivery, cancellations and refunds are described in the linked policies (Payment, Delivery, Cancellation, Returns & Refunds).
14. Intellectual property
The NXDC brand, website content and materials are the property of NXDC SRL and may not be reproduced without prior written permission. Anything you provide remains yours; NXDC uses it only to perform the engagement and as permitted by the Privacy Policy.
15. Liability
To the extent permitted by law, NXDC SRL is not liable for indirect or consequential loss arising from website use. Nothing excludes liability where exclusion is unlawful under Romanian or EU law.
16-18. Data protection, suspension, governing law
Data processing is described in the Privacy Policy. These Terms are governed by Romanian law; B2B disputes are subject to the applicable contract and Romanian courts. For consumers, see Consumer Information.
19. Relationship to commercial contracts
To the extent of any conflict between these Terms and a signed commercial agreement, the signed agreement prevails.
